ARGENTINE-AMERICAN CHAMBER OF COMMERCE OF FLORIDA REPRESENTATION AGREEMENT The parties agree to enter into this Representation Agreement, hereinafter called “THE AGREEMENT”, to promote and increase the promotion of commercial, economic and industrial relations between Argentina and the United States of America, establishing a commercial relationship through which ARGENTINE-AMERICAN CHAMBER OF COMMERCE OF FLORIDA's services to third parties by THE CHAPTERS, subject to the following clauses. THE PARTIES ARGENTINE-AMERICAN CHAMBER OF COMMERCE OF FLORIDA, hereinafter called "AACC", a no profit corporation incorporated in and subject to the laws of the state of Florida- United States, with its registered office at 777 Brickell Ave, Suite 1210, Miami, Florida 33131 – United States of America, and legally represented by its President Roberto Macho and _______________________________, hereinafter called "THE CHAPTER", with its registered office at _____________________________________________________, and legally represented by its sole-director, __________________________. SECTION ONE - CHAPTER 1 - AACC hereby appoints THE CHAPTER, and THE CHAPTER hereby accepts the appointment as the exclusive representative within the territory of _____________ ("THE TERRITORY"), and authorizes THE CHAPTER promoting and increase the promotion of commercial, economic, and industrial relations between Argentina and the United States of America in THE TERRITORY. 2 - The allocation of THE TERRITORY may be modified by AACC at any time, in its sole discretion, by notice in writing addressed to THE CHAPTER at least 90 days prior to such modification. SECTION TWO - REPRESENTATIONS, WARRANTIES 1 - Each of AACC and THE CHAPTER represents and warrants to the other that it validly exists under the laws of its place of incorporation; that it has the legal capacity to sign THE AGREEMENT; that all authorizations necessary for it to enter into and meet its obligations under THE AGREEMENT are in full force and effect; that its obligations under THE AGREEMENT are valid, binding and enforceable against it in accordance with its terms; and declares that it does not breach any law or any document or Agreement by which it is bound by entering into THE AGREEMENT or meeting its obligations under it. 2 - THE CHAPTER represents and warrants to AACC that it has all the necessary knowledge to enter and comply with THE AGREEMENT and to provide all the professional services contemplated under THE AGREEMENT. 3 - THE CHAPTER is hereby authorized to use the title of "Argentine-American Chamber of Commerce – Chapter ______________" ("THE TITLE") on its letterheads, posters, notices, telephone addresses, etc. THE TITLE does not represent or in any way signify that THE CHAPTER can transfer any liability, responsibility, or obligation to AACC for the actions of the CHAPTER in dealing with third parties. For the avoidance of doubt, use of THE TITLE by THE CHAPTER and the terms of THE AGREEMENT does not restrict THE CHAPTER from using its trading name on any letterheads, posters, notices, telephone addresses etc. 4 - THE CHAPTER must not assign, transfer, or delegate, totally or partially, to a third party any right, privilege or obligation established by THE AGREEMENT without the prior written consent of AACC. 5 - THE CHAPTER must not modify or alter in any way any terms set forth in documents – Bylaws issued by AACC, or in any other documents issued by AACC. SECTION THREE – EXCLUSIVITY 1 - THE CHAPTER agrees to perform and exert all the actions, obligations and rights agreed under THE AGREEMENT exclusively for AACC and must not accept or exploit, directly or indirectly, representations offered by any other provider and must not develop any other kind of business activities within THE CHAPTER's premises, except as provided under THE AGREEMENT, without the prior written approval of AACC. 2 - AACC agrees not to enter into any Representation Agreement, or otherwise appoint any other person as a representative, in THE TERRITORY during the period THE AGREEMENT is in force. 3 - During the period that THE AGREEMENT is in force, THE CHAPTER agrees not to accept business from, or to carry on, participate in, assist, or otherwise be concerned in any business that competes with AACC, or with related bodies corporate of AACC. 4 - THE CHAPTER must not assign, transfer, or delegate, in all or in part, to third parties, any of the rights or privileges set forth herein, without the prior written consent of AACC. Any purported assignment in breach of this clause is void. SECTION FOUR - NO SUBORDINATION - STAFF 1 - The parties expressly declare that, except where expressly stated otherwise, THE AGREEMENT does not create any relationship of employment, trust, or partnership between AACC and THE CHAPTER. 2 – THE CHAPTER agrees that AACC will not be responsible in any way for the remuneration and entitlements of the employees of THE CHAPTER. THE CHAPTER will be solely responsible for the payment of all the salaries and other remuneration or payments which may apply in respect of THE CHAPTER's employees, including but not limited to, wages, personal, annual, and long service leave and superannuation for all staff. THE CHAPTER shall ensure strict compliance with all employment and workplace laws and regulations. 3 - THE CHAPTER, in its capacity as employer, will be solely responsible for all actions of employees during their employment, as well as for the compliance with the individual employment contracts entered with its employees. THE CHAPTER will keep AACC indemnified and hold it harmless against any claims that employees of THE CHAPTER may make in relation to their remuneration or entitlements, or a breach of THE CHAPTER's statutory, contractual, or other legal obligations. 4 - THE CHAPTER represents and warrants that it is registered with the _______________ and will comply with all the obligations arising under _______________ law in relation to taxation. SECTION FIVE - OBLIGATIONS: THE CHAPTER agrees to represent AACC as its agent and provide and perform the following services for and on behalf of AACC: 1 – Develop an annual Business Plan with activities goals and for the development of the membership. The Business Plan must be presented in the first month of the year and must be approved by AACC. 2 -Develop communication, information, and learning activities using magazines, bulletins, business newsletters, contacts, catalogs, collections, specialized databases, conventions, seminars, advertising in various media, Internet Web sites, etc. All communication must be pre-approved by AACC. 3 – Develop contacts with business and financial organizations, entities, associations, operators, professional individuals, and environments in Argentina to facilitate business and commercial relations. 4 - Assist AACC in their relations with government authorities, regulatory bodies and agencies, the press, and the general public within THE TERRITORY, in coordination with AACC. For the avoidance of doubt, "assist" when referred to in this paragraph does not permit THE CHAPTER to engage any legal or political representation on behalf of AACC. 5 - Compile and dispatch in a timely manner all statistics, responses, and business reports reasonably required by, or which THE CHAPTER considers may be of interest to, AACC. 6 - Notify AACC in a timely manner of any information issued by government authorities within the TERRITORY regarding applicable laws, regulations and general legal or administrative provisions, including in relation to the services provided by both AACC and THE CHAPTER in the territory. 7 – Constitute a welcome and first assistance center to American operators for activities in Argentina. 8 - Provide assistance services to companies to promote the development of business and commercial activities. 9 - Endeavor to inform and implement transnational opportunities for cooperation among companies and investments abroad for Argentinean companies and Argentina for foreign companies. 10 - Take all other steps that might be conducive to achieving the foregoing aims and purposes. 11 – Work together with all Chapters in Argentina to promote business and commercial activities. 12 - To implement the membership development plan according to the AACC Bylaw - article 2 – Members. SECTION SIX – REPRESENTATION FEE THE CHAPTER agrees to pay to AACC, concurrently with signing this Agreement, an annually representation fee in the amount of the U$5,000 (five thousand dollars). Fee represents payment for grant of the right to use AACC Marks in the territory. Fee is not refundable to THE CHAPTER after it is paid. SECTION SEVEN – EXPENSES THE RESPONSIBILITY OF THE CHAPTER. 1 - The following activities shall be the responsibility of THE CHAPTER: a) communication expenses. b) stationery and miscellaneous expenses. c) rent, rates, taxes, charges of commercial premises, as well as expenses that are necessary to display logos, colors, and IDs determined by AACC. d) rates for the use of premises, spaces and for doing business on the premises. e) negotiation with suppliers. f) computer equipment, telephones, and communications (including the acquisition of new network electronics, equipment, spare parts, electronic supplies, computer parts, and local communication contracts). g) travel expenses and related expenses for commercial training courses and presentations presented by AACC. h) materials and supplies needed for the installation of equipment and communications systems. i) management of funds. j) expenses relating to the administrative and commercial operation of THE CHAPTER arising from the general operation of their businesses; and k) commercial security services. SECTION EIGHT – CONFIDENTIALITY 1 - THE CHAPTER acknowledges that in the course of providing the Services, it will receive or otherwise have access to technical information and materials belonging to AACC or its affiliates, which is confidential ("Confidential information"). 2 - THE CHAPTER agrees to keep the Confidential Information confidential and not disclose it to third parties or use it for any purpose that is not in compliance with this Agreement. The CHAPTER agrees not to allow any unauthorized persons to have access to the Confidential Information, either during or after the term of the AGREEMENT, except its financial or professional advisors, representatives, lawyers, and employees (to the extent they need to know the Confidential Information) or with the prior written consent of AACC. 3 - THE CHAPTER shall take all reasonable measures necessary and reasonably satisfactory to AACC to protect the Confidential Information, including but not limited to, the implementation and compliance with operating procedures to minimize the possibility of use or unauthorized reproduction of the Confidential Information. 4 - All Confidential Information is the property of and shall always remain the property of AACC. 5 - In the case of a breach of THE CHAPTER's obligation of exclusivity (under Section 3) or confidentiality (under this Section 9), AACC reserves the right to immediately terminate this AGREEMENT and THE CHAPTER shall be liable for any damages suffered, or costs or expenses incurred, by AACC as a result of such breach. AACC's rights under this clause (5) are in addition to remedies that may be available. SECTION NINE - INSPECTIONS AND AUDITS BY AACC AACC may, at any time it deems reasonably necessary, carry out inspections and audits of THE CHAPTER to monitor its compliance with the Agreement. THE CHAPTER undertakes to collaborate with such inspections and audits, including responding in a timely manner to all reasonable requests made by AACC. SECTION TEN – TERM and TERMINATION 1 - This AGREEEMENT will become effective on _______________________ for a period of 1 year ("TERM"). The AGREEMENT shall automatically renew, for successive and equal periods, unless either party gives 30 days written notice of termination without cause to the other party, at any time after ____________________. SECTION TWELVE - ENTIRE AGREEMENT 1 - This AGREEMENT constitutes the entire Agreement between the parties in connection with its subject matter and supersedes all previous agreements, contracts, promises or understandings between the parties in connection with that subject matter. 2 - Each party warrants that it has been given ample opportunity to obtain independent legal advice in relation to the terms of this AGREEMENT and to negotiate the terms of this AGREEMENT. 3 - Each party agrees that it has not been provided with any legal, financial, or other advice in connection with this AGREEMENT by the other party. 4 – Each party enters into this AGREEMENT relying only on the AGREEMENT itself and the party's own investigations (including independent advice received by it). 5 – In entering into this AGREEMENT, each party agrees that it does not rely on any representation or warranty made by or on behalf of the other party in relation to this AGREEMENT (including during the negotiations leading up to this AGREEMENT) other than those contained in the AGREEMENT itself. SECTION THIRTEEN - APPLICABLE LAW AND JURISDICTION 1 - This AGREEMENT is governed by the Laws of ____________________________. 2 - Each party irrevocably and unconditionally submits to the non-exclusive jurisdiction of the courts of ________________________________. SECTION FOURTEEN - MISCELLANEOUS 1 - This AGREEMENT may be executed in counterparts (that is, separate copies of the same document, each signed by one or more parties). All executed counterparts constitute one AGREEMENT. 2 - This AGREEMENT may only be varied (including varying the parties by novation) or supplemented in writing signed by each party. A right created under this AGREEMENT may only be waived in writing signed by the party giving the waiver, and only to the extent specified in the notice. 3 - A party does not waive a right or remedy if it fails to exercise the right or remedy or delays in exercising the right or remedy. A single or partial exercise of a right or remedy does not prevent another or further exercise of that right or remedy. 4 - A party's rights or remedies under this AGREEMENT are in addition to other rights and remedies given by law independently of this AGREEMENT. A party's rights and obligations under this AGREEMENT are not affected by anything which might otherwise affect them at law. 5 - Each indemnity in this AGREEMENT is a continuing obligation, independent of the party's other obligations and survives termination or expiry of this AGREEMENT. Any right of indemnity given in this AGREEMENT is in addition to any common law rights. 6 - Termination or expiry of this AGREEMENT does not prevent a party from acquiring rights connected with any act or omission occurring before termination or expiry, nor does it affect rights that have accrued on or before termination or expiry. Any obligation of confidentiality arising in connection with this AGREEMENT is independent and survives the AGREEMENT's termination or expiry. Any other term which, by its nature, is intended to survive termination or expiry of this AGREEMENT survives such termination or expiry. 7 - A party must not make or authorize a communication (such as a press release or employee briefing) relating to this AGREEMENT without the approval of the other party unless the communication is to a professional adviser, or is required by law, or by order of a court, tribunal, authority, regulatory body or the rules of a stock exchange. If the communication is so required, the party must consult with the other party and take their reasonable requirements into account, so far as this is practical. 8 - The time for a party to comply with an obligation is of the essence unless this AGREEMENT expressly states otherwise.
